These Terms & Conditions (“Terms”) govern your access to and use of the website, products, services, memberships, digital offerings, live music review submissions, artist features, and related platform functionality operated by UpCrib Inc. (“UpCrib,” “we,” “us,” or “our”).
 

By accessing or using our website, purchasing a product or service, submitting content, joining a membership, or otherwise engaging with the UpCrib platform, you agree to be bound by these Terms.
 

If you do not agree to these Terms, do not use the site or purchase any product or service from UpCrib.

2. Scope of the Platform

UpCrib operates a music-focused platform that may include, without limitation:

• artist showcases and hosted artist pages;

• event promotion and community-based music features;

• digital products and downloadable creative tools;

• memberships and subscription-based access;

• creative services, including mixing and related offerings;

• monetized live music reviews, queue submissions, and queue upgrades;

• featured content, promotional opportunities, and related ecosystem tools.
   

Some offers, services, artist relationships, and purchases may also be governed by separate policies, package terms, or written agreements. Where a separate agreement applies, that agreement will control to the extent of any direct conflict.
 

3. Eligibility

You may use the site only if you are legally capable of entering into a binding agreement under applicable law.
 

If you are under the age of majority in your jurisdiction, you may use the site only with the consent and supervision of a parent or legal guardian.
 

You agree that all information you provide to UpCrib is accurate, current, and complete.
 

4. Accounts, Access, and Membership Use

Certain features of the site may require an account, login, member access, or purchase-based access.
 

You are responsible for maintaining the confidentiality of your credentials and for all activity conducted through your account or access.
 

Any membership, login, digital access, purchased entitlement, or community access granted by UpCrib is personal, limited, revocable, and non-transferable unless we expressly state otherwise.
 

We may suspend, restrict, or terminate access where we reasonably believe that:

• these Terms have been violated;

• fraud, abuse, infringement, harassment, or chargeback misuse has occurred;

• continued access creates legal, payment, operational, or reputational risk for UpCrib.
   

5. Hosted Artists and Platform Affiliations

UpCrib may feature artists, creatives, or hosted artist pages on the platform.
 

The appearance of an artist page, creative profile, hosted listing, or platform feature on the site does not by itself create an employment relationship, partnership, joint venture, royalty-sharing arrangement, or ownership interest unless expressly set out in a separate written agreement.
 

Artists or creatives featured or hosted through UpCrib may be subject to separate written agreements governing affiliation, representation, hosting, branding, and content use.
 

6. Orders, Products, Services, and Availability

UpCrib may offer one-time purchases, recurring subscriptions, digital products, service-based packages, live review submissions, queue upgrades, and other music-related offerings.
 

All products, services, memberships, and features are subject to availability and may be modified, updated, suspended, or discontinued at any time.
 

We reserve the right to refuse any order, submission, booking, or request for service at our discretion.
 

7. Pricing, Currency, and Payment Processing

All prices displayed on the site are shown in the currency displayed at checkout. UpCrib currently charges customers in USD, even if settlement or conversion occurs in another currency internally.
 

Payments are processed through Stripe or another payment method we may make available.
 

By making a purchase, you authorize UpCrib and its payment processor to charge the applicable purchase amount, including any recurring charges, taxes, fees, renewals, or other clearly disclosed charges associated with your order.
 

You are responsible for providing current, accurate billing, payment, and contact information.
 

We reserve the right to correct pricing, description, or checkout errors and to cancel or refuse orders affected by such errors.
 

8. Subscriptions, Free Trials, and Auto-Renewals

Certain offerings may be billed on a recurring subscription or membership basis.
 

By purchasing a subscription or membership, you agree that:

• the subscription may automatically renew unless canceled before the next billing date;

• recurring charges may continue at the disclosed billing interval until canceled;

• any free trial or promotional access may convert into a paid subscription if disclosed at checkout;

• membership benefits, features, included access, and platform structure may change over time.

9. Digital Products

UpCrib may offer digital products, downloadable files, templates, packs, and similar non-physical goods.
 

Unless otherwise stated in writing, digital products are licensed for permitted use and are not sold on an unrestricted ownership basis.
 

You may not reproduce, resell, redistribute, leak, sublicense, share, publish, or commercially exploit any paid digital product except where we expressly permit it in writing.

10. Creative Services

UpCrib may offer creative and technical services, including mixing and related music services.
 

Service scope, turnaround, included revisions, deliverables, package limitations, and client obligations may vary depending on the service purchased.
 

All service-specific procedures, fulfillment standards, revision limits, inactivity rules, and service-related refund treatment are governed further by our Service Policy and Refund Policy.
 

11. Live Music Reviews, Queue Submissions, and Queue Upgrades

UpCrib may offer paid music review submissions, queue placements, priority queue upgrades, top-spot placements, or similar event-based features.
 

By purchasing a live review-related product, you acknowledge and agree that:

• timing, queue order, placement, and review structure may depend on live event operations;

• UpCrib may modify queue structure or presentation for operational reasons;

• purchase of a submission or upgraded queue position does not guarantee any specific outcome, exposure level, audience reaction, or future opportunity;

• submissions that violate these Terms may be refused, removed, or disqualified.

12. User Submissions and Content Rights

You may submit music, audio, artwork, text, images, links, metadata, names, branding, or other content to UpCrib in connection with reviews, services, memberships, artist hosting, promotion, or platform participation (“Submitted Content”).
 

You retain ownership of your Submitted Content.
 

However, by submitting content to UpCrib, you grant UpCrib a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, distribute, perform, excerpt, format, edit for technical or promotional purposes, and otherwise use your Submitted Content as reasonably necessary to:

• provide purchased services or platform features;

• review, play, present, or stream your submission;

• create promotional clips, recaps, highlights, reposts, or featured content;

• operate artist pages, listings, directories, and related platform functionality;

• maintain internal records, archives, and proof of fulfillment.
   

You represent and warrant that:

• you own or control all rights necessary for the Submitted Content;

• your Submitted Content does not infringe any copyright, trademark, privacy, publicity, contract, or other third-party right;

• you have obtained all required permissions, licenses, and approvals for the uses you authorize.
   

We may reject, remove, disable, mute, or refuse any Submitted Content that we believe is unlawful, infringing, abusive, misleading, harmful, or inconsistent with the standards of the platform.
 

13. Promotional Use

Where you submit music or content for reviews, artist features, hosted visibility, or promotional opportunities, you acknowledge that UpCrib may reference your artist name, artwork, branding, links, project title, and short excerpts of submitted materials in connection with platform promotion, recaps, archived content, featured posts, highlights, and social media activity, unless otherwise agreed in writing.
 

14. Client Responsibilities

You agree to provide all files, information, approvals, and responses reasonably necessary for us to fulfill a service, review, hosted feature, or platform-related request.
 

You are responsible for:

• sending accurate and complete materials;

• maintaining backups of your own files;

• responding in a timely manner when fulfillment depends on your input;

• ensuring that any material you submit may lawfully be used for the purpose requested.
   

15. Inactivity and Abandoned Projects

If you fail to provide required files, information, approvals, responses, or revision instructions needed for fulfillment, UpCrib may pause the order.
 

If a project remains inactive for 14 days, we may place it on hold.

If a project remains inactive for 30 days from our last request for information, delivery notice, or revision follow-up, we may treat the project as abandoned.
 

Abandoned projects may be closed without refund, and any remaining revisions, access, service time, or related deliverables may be forfeited, subject to our applicable policies.
 

16. Prohibited Conduct

You agree not to:

• engage in abusive, threatening, harassing, hateful, defamatory, unlawful, or harmful conduct toward UpCrib, its staff, contractors, artists, customers, or community members;

• submit content you do not own or control, or that infringes the rights of others;

• engage in fraud, payment abuse, or bad-faith chargebacks;

• share, leak, resell, reproduce, or redistribute purchased products, membership content, or private access;

• impersonate another person or provide false identity, contact, or billing information;

• scrape, reverse engineer, data-mine, interfere with, probe, or attempt unauthorized access to the site or its systems;

• use the platform for any unlawful, exploitative, or harmful purpose.
   

17. Intellectual Property of UpCrib

The UpCrib platform, including its branding, logos, visual identity, site design, text, graphics, workflows, layouts, videos, and platform content, is owned by or licensed to UpCrib and protected by applicable intellectual property laws.
 

Except where expressly permitted in writing, you may not copy, reproduce, republish, distribute, sell, exploit, mirror, scrape, or use any UpCrib content, branding, or platform element for commercial or unauthorized purposes.
 

18. Right to Refuse Service

UpCrib may refuse service, cancel an order, reject a submission, remove hosted content, suspend access, or terminate a relationship where reasonably necessary to protect the platform, enforce these Terms, comply with legal obligations, manage operational risk, or address abuse or misconduct.
 

19. Disclaimer of Warranties

The site, products, services, memberships, submissions, content, and platform features are provided on an “as is” and “as available” basis to the maximum extent permitted by law.
 

UpCrib makes no warranties or representations, express or implied, regarding uninterrupted availability, error-free operation, technical compatibility, suitability for a particular purpose, or any specific artistic, promotional, business, or commercial result.
 

20. No Guarantee of Results

UpCrib does not guarantee any specific artistic, promotional, technical, commercial, or business outcome from the use of the platform or purchase of any product or service.
 

Without limitation, UpCrib does not guarantee:

• streaming or sales performance;

• virality, playlisting, exposure, or audience growth;

• signings, collaborations, placements, or career opportunities;

• subjective satisfaction beyond the stated revision scope;

• any specific result from live reviews, queue placement, hosted visibility, or promotional exposure.
   

Creative work and audience response are inherently subjective, and outcomes vary based on many factors outside UpCrib’s control.
 

21. Limitation of Liability

To the maximum extent permitted by law, UpCrib and its officers, directors, employees, contractors, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, exposure, audience growth, commercial opportunity, or career opportunity arising out of or relating to the site, platform, products, services, submissions, or these Terms.
 

To the maximum extent permitted by law, UpCrib’s total aggregate liability for any claim arising out of or relating to a specific product or service shall not exceed the amount paid by you for the specific product or service giving rise to the claim.
 

Nothing in these Terms excludes liability that cannot legally be excluded.
 

22. Indemnity

You agree to defend, indemnify, and hold harmless UpCrib and its officers, directors, employees, contractors, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your breach of these Terms;

• your Submitted Content;

• your infringement or alleged infringement of third-party rights;

• your misuse of the site, services, memberships, or products;

• your fraud, misconduct, or unlawful activity.
   

23. Privacy and Communications

Your use of the site is also subject to our Privacy Policy and any applicable consent flows relating to email and SMS communications.
 

Even if you unsubscribe from promotional messages, UpCrib may still send transactional or service-related communications where permitted, including communications related to purchases, billing, delivery, access, account administration, or service fulfillment.
 

24. Changes to These Terms

We may update these Terms from time to time.
 

When we do, we may revise the “Last Updated” date and post the updated version on the site. Your continued use of the site or continued purchase or use of our products or services after updated Terms become effective constitutes acceptance of the revised Terms.
 

25. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.
 

Any dispute arising out of or relating to these Terms, the site, or any product or service provided by UpCrib shall be brought before the courts located in British Columbia, Canada, unless applicable law requires otherwise.
 

26. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the maximum extent permitted by law.
 

27. Entire Agreement

These Terms, together with any applicable package terms, checkout disclosures, policies, and separate written agreements expressly incorporated by reference, constitute the entire agreement between you and UpCrib regarding the applicable subject matter.
